Role Objective
Independent oversight of financial reporting, internal
controls, risk management, and the statutory audit process,
serving as a Non-Executive Director, Audit Committee member,
or Audit Committee Chair while meeting statutory independence
and qualification requirements.
Engagement Approach
- Non-executive mandate: supervision and constructive challenge without executive responsibilities.
- Availability for scheduled board and committee meetings as well as ad hoc consultations.
- Direct cooperation with the external auditor, internal audit function, and CFO.
- Annual committee work plan with structured reporting to the supervisory board and shareholders.
Scope of Work
- Chairing the Audit Committee, including agenda preparation, annual work planning, and reporting to the supervisory board.
- Oversight of financial reporting quality, accounting policies, and key judgments.
- Monitoring the effectiveness of internal controls, internal audit, and risk management.
- Supervision of the statutory audit process, including auditor selection, independence, fees, and non-audit services.
- Review of auditor findings, management letters, and remediation follow-up.
- Oversight of whistleblowing, compliance, and related-party transactions.
- Experience based support in M&A, financing and refinancing, IPO readiness, and capital structure decisions.
